1. Acceptance & Scope

By accessing, registering for, or using AI Agents Ke (aiagents.ke) or associated platform interfaces and developer engines, you agree to be bound by these Terms and Conditions. If you do not agree, please refrain from using our platform.

2. Services Provided

AI Agents Ke provides enterprise multi-channel AI communication tools, voice AI automation, WhatsApp Business Cloud API integration, SMS routing infrastructure, and developer APIs. The platform is owned and operated by Crinoid Investments Limited.

3. Account Provisioning, Subscriptions & API Billing

Managed Onboarding: Workspaces are provisioned and handed over by Crinoid Investments Limited administration following the evaluation of a client request.

Subscription Cycles: Services are billed on a recurring subscription basis (monthly, quarterly, or annually).

Third-Party API Payments: All financial transactions, subscriptions, and payment data are processed strictly via secure, third-party API gateways. Crinoid Investments Limited does not host or manage your financial data.

Renewal Warnings & Holds: Failure to settle balance dues on or before the due date via the billing portal will result in the account status being updated to "On Hold." Accounts on hold will experience immediate, temporary suspension of automated AI channel responses and API connections. Full reactivation requires payment of outstanding subscription balances.

4. Customer Responsibilities & Acceptable Use

Users agree to utilize AI Agents Ke strictly for lawful business communication. You shall not utilize the platform to:

- Transmit unsolicited bulk communication (spam), illegal content, or fraudulent schemes.

- Engage in deceptive, impersonating, or abusive practices.

- Distribute malware, viruses, or code designed to compromise system security.

Crinoid Investments Limited reserves the right to audit network activity and suspend non-compliant accounts immediately without prior notice or financial liability.

5. Privacy and Security

By using AI Agents Ke, you agree to the collection and use of your account information (Name, Email, Phone Number, Organization Name) as outlined in our Privacy Policy. Clients are responsible for ensuring they have the right to upload any business data or end-user contacts they submit to their workspace.

6. Intellectual Property

Crinoid Investments Limited retains all rights, proprietary technology, and intellectual property in the AI Agents Ke platform, the Ella engine, and system algorithms. Clients retain exclusive ownership of all uploaded business data, prompts, and customer conversation logs submitted to their workspace.

7. Limitation of Liability

Services are provided on an "as-is" and "as-available" basis. Crinoid Investments Limited shall not be liable for direct, indirect, incidental, or consequential damages resulting from platform downtime or service interruptions caused by third-party infrastructure failures, telecommunications outages, or Meta/WhatsApp API platform disruptions.

8. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of Kenya.
